# Program Regulations

## Official Regulations

### 1. Purpose

The Refer Vindula Program aims to incentivize the referral of new companies to the Vindula platform, granting a financial reward to the referrer for each new licensing contract signed based on their referral.

### 2. Participation

Individuals over 18 years old, residing in Brazil, may participate in the program. It is not necessary to be a Vindula client. Employees of Vindula Internet Ltda. and companies in the same economic group are not allowed to participate.

### 3. Reward

The referral reward is R$ 1,000.00 (one thousand reais) for each new Vindula platform licensing contract signed based on the referral. Payment is made after contract signing and payment of the first installment/implementation by the referred client. The payment deadline is up to 30 business days after confirmation of the first installment payment.

### 4. Valid Referrals

Valid referrals are those of companies that are not yet Vindula clients and do not have an ongoing commercial proposal at the time of referral. Referrals of companies in which the referrer has equity participation, management position, or employment relationship are not valid. Referrals of companies that have already been contacted by Vindula in the last 6 months are also not valid.

### 5. Referral Validity

The referral is valid for 12 (twelve) months from the submission of the referral form. If the referred company signs a contract within this period, the referrer is entitled to the reward. After 12 months, the referral expires and a new referral must be submitted.

### 6. Referral Limit

There is no limit on referrals per participant. Each closed contract generates a reward of R$ 1,000.00. The participant can refer as many companies as they wish, as long as they meet the validity criteria described in these regulations.

### 7. Payment

The reward payment will be made via bank transfer (PIX) to the account indicated by the participant. The referrer will be contacted by the Vindula team to provide the necessary bank details. Payment is subject to withholdings and taxes provided by law.

### 8. General Provisions

Vindula reserves the right to change, suspend, or terminate the program at any time, with prior notice of 30 days published on this page. In case of doubts or disputes, Vindula's decision will be sovereign and final. Participation in the program implies full acceptance of these regulations.
